Terms of Service

Please read these Terms of Service carefully before using our Website or Apps or booking services through them. By accessing or using the BarberSpot Platform, you confirm that you accept these Terms and all policies incorporated into them. If you do not agree, you must not use the Platform.

1. About BarberSpot

1.1These Terms of Service (“Terms”) govern your access to and use of the BarberSpot website at www.barberspot.co, the BarberSpot mobile applications, and related products, technologies, digital wallets, payment services and features (collectively, the “Platform”).

1.2The Platform is owned and operated by ValuraTech Ltd, a company incorporated under the laws of the Federal Republic of Nigeria (Company Registration Number 8835005) (“ValuraTech”, “BarberSpot”, “we”, “our” or “us”).

1.3BarberSpot is a technology-enabled marketplace that connects customers seeking grooming and personal care services with independent barbers, salons, grooming professionals and other approved service providers (“Partners”). BarberSpot is not a fulfilment centre and does not itself provide grooming services unless expressly stated otherwise.

1.4Partners are independent businesses and are not employees, agents, franchisees or joint venture partners of BarberSpot. Each Partner is solely responsible for the services they offer, pricing, licences, compliance, service quality and honouring confirmed appointments.

1.5The Platform is primarily intended for users in the Federal Republic of Nigeria. If you access it from elsewhere, you do so at your own risk and must comply with local laws.

2. Acceptance of these Terms

2.1By accessing, registering for, or using the Platform, you agree to be legally bound by these Terms and the policies incorporated by reference, including the Marketplace Policies.

2.2You represent that you have legal capacity to enter into a binding agreement and that information you provide is accurate and truthful. If you register on behalf of a business, you represent that you have authority to bind that organisation.

3. Key Definitions

  • “Account” means a registered BarberSpot profile created by a Customer or Partner.
  • “Booking” means a confirmed appointment arranged through the Platform.
  • “Customer” means an individual using the Platform to discover, compare or book services.
  • “Partner” means an independent barber, salon or approved service provider on the Platform.
  • “Wallet” means the digital wallet available through the Platform for eligible refunds, credits, Partner earnings displays and approved balances.
  • “Business Day” means any day other than a Saturday, Sunday or public holiday in Nigeria.
  • “Platform Contract” means the agreement between BarberSpot and a user relating to Platform use.
  • “Partner Contract” means the agreement between a Customer and the relevant Partner for the booked service.

4. Services We Provide

4.1Subject to these Terms, the Platform may allow Customers to search for Partners, browse profiles, compare prices, schedule appointments, make secure payments, manage bookings, receive eligible refunds and maintain a BarberSpot Wallet.

4.2BarberSpot provides technology and marketplace facilitation only. We do not own, manage or operate Partner shops and do not supervise how Partners perform grooming services, except to the extent we set marketplace standards, verify Partners, process payments and investigate complaints.

5. Incorporated Policies

These Terms incorporate the BarberSpot Marketplace Policies (including Acceptable Use, Shipping / Service Delivery, and Returns & Refund Policy), the Privacy Policy, Partner-specific booking or cancellation terms shown before confirmation, and any additional policy we expressly incorporate. Order of priority (unless law requires otherwise): applicable law → these Terms → Marketplace Policies → Privacy Policy → other supplementary policies.

6. Eligibility and Accounts

6.1You must be at least 18 years old (or the age of legal majority where higher) to create an Account and make bookings.

6.2You must keep Account information accurate and current. You are responsible for activity on your Account until you notify us of suspected unauthorised access.

6.3We may refuse, suspend or close Accounts where permitted by law, including for suspected fraud, failed verification, security risk or breach of these Terms.

7. Account Security

7.1You must keep login credentials confidential and notify us promptly of suspected unauthorised access, compromised devices or suspicious transactions.

7.2We may apply security measures such as multi-factor authentication, device checks, transaction monitoring and temporary restrictions.

8. Identity Verification (KYC)

8.1To maintain a secure marketplace and comply with applicable law, BarberSpot may require Know Your Customer (“KYC”) verification before Partner onboarding, payouts, Wallet withdrawals, high-value transactions, Account recovery or other sensitive actions.

8.2Partners joining BarberSpot complete an onboarding and verification process. We collect government-issued identification, business information (where applicable), contact details and bank account information. Identity verification is performed through Dojah (or another authorised third-party KYC provider), which validates submitted information against trusted data sources. Only verified Partners may offer services and receive payouts through BarberSpot.

8.3Verification materials may include government ID, NIN, BVN, selfie / facial verification, proof of address, business registration and tax information. Failure to verify may result in restricted features, delayed payouts or Account suspension.

8.4KYC information is handled in accordance with our Privacy Policy and applicable data protection law.

9. Nature of the Marketplace

9.1BarberSpot operates as a digital marketplace connecting Customers with independent Partners. Services are provided directly by third-party Partners to Customers at the booked location and time.

9.2When you book, you may form: (a) a Platform Contract with BarberSpot for booking, payment facilitation and related Platform services; and (b) a Partner Contract with the Partner for delivery of the grooming service. BarberSpot is not a party to the Partner Contract except where required by law.

10. Prices, Payments and Settlement

10.1Partners generally determine service prices. Prices are shown in Nigerian Naira (NGN) unless stated otherwise. Available payment methods (including cards, bank transfer, Wallet balance and Pay at Venue where offered) are displayed at checkout.

10.2Payments are processed by authorised third-party providers (including Paystack). Their terms may also apply to the payment transaction.

10.3Where BarberSpot facilitates collection of payment in connection with a booking, it does so as commercial agent of the relevant Partner for the limited purpose of receiving payment. Upon successful receipt of payment, your payment obligation to that Partner is discharged to the extent of that payment.

10.4 Split payments and T+1 settlement.BarberSpot does not operate an extended escrow model in which customer funds are held on behalf of Partners for prolonged periods. To support marketplace compliance and timely Partner payouts, BarberSpot uses payment-provider split payment functionality so that, at the point of a successful transaction:

  • BarberSpot’s platform service fee is settled to BarberSpot; and
  • the Partner’s share of the booking amount is settled to the Partner on a T+1 basis (the next Business Day after a successful transaction), subject to payment-provider processing, banking cut-off times, successful identity verification where required, and any temporary holds reasonably required for fraud prevention, chargebacks or dispute resolution.

10.5Failed, declined or reversed payments may result in cancellation of the affected booking or suspension of related services until payment is completed. Partners remain responsible for their own tax obligations.

11. BarberSpot Wallet

11.1Eligible Customers and Partners may have access to a BarberSpot Wallet. The Wallet is not a bank deposit account and does not earn interest.

11.2 Customers.Customer Wallets may hold approved refunds, promotional credits, loyalty rewards and other credits. Customers may fund a Wallet in advance (where supported) and use available balance to pay for bookings, or may pay directly at checkout.

11.3 Partners.Partner Wallets may display settled earnings and related balances after the applicable T+1 settlement process. Partners may withdraw eligible balances to a verified Nigerian bank account subject to KYC, fraud screening and Marketplace Policy rules.

11.4 No peer-to-peer transfers.Wallet balances are intended solely for transactions within the BarberSpot marketplace. Users cannot transfer funds between Wallets on the Platform unless BarberSpot expressly introduces and enables such functionality in writing.

11.5We may suspend, reverse, restrict or recover Wallet balances where credits were issued in error, fraud is suspected, a payment is charged back, these Terms are breached, or law requires it. Operational Wallet rules are set out in the Marketplace Policies.

12. Cancellations, Refunds and Disputes

12.1Cancellation, refund and dispute rules are set out in the Returns & Refund Policy. Cancellation conditions for a booking are disclosed before confirmation.

12.2Unless a Partner-specific policy is disclosed at checkout, Customers who cancel at least 120 minutes before the appointment are ordinarily eligible for a full refund of amounts paid, subject to the Marketplace Policies.

12.3Where a Partner cancels, the Customer may reschedule, book another Partner, or receive an eligible refund. Disputes are reviewed using booking records, payment information and evidence from both parties.

13. Acceptable Use

You must use the Platform lawfully and in accordance with our Acceptable Use Policy. You must not introduce malware, attempt unauthorised access, commit fraud, manipulate reviews, offer illegal services, launder money, or otherwise misuse the Platform.

14. Intellectual Property

14.1We own or license the Platform and its content, including trademarks, software, designs and branding, except where stated otherwise.

14.2You may use the Platform for personal, non-commercial purposes in accordance with these Terms. You must not copy, modify, distribute, sell or exploit any part of the Platform except as permitted by law or with our written permission.

15. Availability and Changes

15.1We may update, modify, suspend or withdraw any part of the Platform at any time. We do not guarantee uninterrupted or error-free availability.

15.2We may amend these Terms from time to time. The latest version will be available on the Platform. Where required by law, we will notify you of material changes. Continued use after changes take effect constitutes acceptance.

16. Liability and Indemnity

16.1Nothing in these Terms limits liability that cannot be limited under applicable law.

16.2Subject to 16.1, BarberSpot is not liable for indirect or consequential losses arising from your use of the Platform, and is not responsible for the acts, omissions or service quality of independent Partners. Your rights regarding the grooming service itself are primarily against the Partner under the Partner Contract.

16.3You agree to indemnify BarberSpot against losses arising from your breach of these Terms, misuse of the Platform, or infringement of third-party rights, to the extent permitted by law.

17. Governing Law

These Terms and any dispute arising out of or relating to them are governed by the laws of the Federal Republic of Nigeria. The courts of Nigeria will have non-exclusive jurisdiction. Parties should first seek good-faith resolution where practicable.
